
Terms and conditions
Title/Risk of Loss. The Recipient shall pay reasonable shipping costs in accordance with its shipping instructions, but the Provider shall be responsible for packaging, shipping, and safe delivery and shall bear all risk of damage or loss until the Goods are delivered to the Recipient's address.
Payment. Payment shall be made to Shop Joy Online upon delivery of all Goods described in this Contract. In addition to any other right or remedy provided by law, if the Recipient fails to pay for the Goods when due, the Provider has the option to treat such failure to pay as a material breach of the Contract and may cancel this Contract and/or seek legal remedies.
Delivery. Time is of the essence in the performance of this Contract. The Provider will arrange for delivery by the carrier chosen by the Recipient. Recipient agrees to pay all taxes of every description, federal, state, and municipal, that arise as a result of this sale, excluding income taxes.
Warranties. The Provider warrants that the Goods shall be free of substantive defects in material and workmanship. The Provider makes no warranties, expressed or implied, except as specifically stated above. SUCH WARRANTIES, IF ANY, ARE IN LIEU OF ALL OTHER WARRANTIES, WRITTEN OR ORAL, STATUTORY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE PROVIDER SHALL IN NO EVENT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY NATURE, EVEN IF THE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The Provider's liability, if any, for defective Goods, is limited to replacement, repair, or refund of the defective Goods, at the Provider's option. The Provider agrees to indemnify, hold harmless, and protect the Recipient, its affiliates, successors, assignees, customers, and users from any and all claims, demands, suits at law or equity, and all expenses including attorneys' fees, involving infringement or alleged infringement of any patent, trademark, or copyright resulting from the purchase, use, or sale of the Goods. Inspection. The Recipient, upon receiving possession of the Goods, shall have a reasonable opportunity to inspect the Goods to determine if the Goods conform to the requirements of this Contract. If the Recipient, in good faith, determines that all or a portion of the Goods are non-conforming, the Recipient may return the Goods to the Provider at the Provider's expense. The Recipient must provide written notice to the Provider of the reason for rejecting the Goods. The Provider will have 20 days from the return of the Goods to remedy such defects under the terms of this Contract. Term. This Contract will begin on the Effective Date and shall remain in effect until completion of the Services ("Termination Date"), unless terminated earlier as outlined in the Termination section below. Either party may alter the Termination Date by mutual written consent. Termination. Either party may end this Contract prior to the Termination Date, with or without cause, upon 30 days' written notice to the other party ("Early Termination").
